Terms of Service
Last updated: October 22, 2026
ProofOkay is operated by PrinterFlo, the team behind the PrinterFlo print and sign shop software. These terms are the agreement between you and PrinterFlo for using ProofOkay. By using the Service you agree to them.
1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the ProofOkay website, application and related services (the "Service"). If you use the Service on behalf of a business, you represent that you're authorized to accept these Terms for that business.
2. The Service
ProofOkay provides proof approval software: you upload artwork, your customers review it, zoom into it and approve it or ask for changes, and the Service checks files for print. Features may be added, changed or removed as we improve it.
3. Accounts
- You must provide accurate information and keep it up to date.
- You're responsible for safeguarding your login credentials and for all activity under your account.
- You must be at least the age of majority in your jurisdiction to use the Service.
- Notify us promptly of any unauthorized use of your account.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful, infringing or fraudulent purpose.
- Upload content you don't have the rights to, or that is unlawful or harmful.
- Attempt to access accounts or data that aren't yours, or probe, scan or breach security.
- Reverse engineer, resell or misuse the Service, or overload our infrastructure.
5. Your content and data
You retain ownership of the data and content you put into ProofOkay: your proofs, files, customers and messages ("Your Content"). You grant us a limited license to host, process and display Your Content solely to provide and improve the Service, including making zoomable previews of the files you upload. You're responsible for Your Content and for having the necessary rights and permissions, including for your own customers' personal information.
6. Fees and subscriptions
The Service requires a paid subscription after any free period. Subscriptions are billed through Stripe. Plan details are described at sign-up and on our pricing page; we'll give reasonable notice of material changes to fees for your plan. You can cancel at any time from Billing, and your plan runs to the end of the period you've paid for. Unless stated otherwise, fees are non-refundable except where required by law.
7. Intellectual property
The Service, including its software, design and content (excluding Your Content), is owned by PrinterFlo and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. You may not use our trademarks without permission.
8. Third-party services
The Service relies on third parties such as Stripe. We're not responsible for third-party services, and your use of them is governed by their terms and policies.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that the Service will be uninterrupted, error-free or secure. The print check points out likely problems with a file; it doesn't guarantee how anything will print.
10. Limitation of liability
To the maximum extent permitted by law, PrinterFlo and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim (or, if you paid nothing, CAD $100).
11. Indemnification
You agree to indemnify and hold PrinterFlo harmless from claims, losses and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or if we discontinue the Service. On termination, you can request an export of Your Content for a reasonable period, after which we may delete it.
13. Changes to these terms
We may update these Terms from time to time. We'll revise the "Last updated" date above and, for material changes, provide additional notice where appropriate. Continuing to use the Service after changes take effect means you accept the revised Terms.
14. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules, and the courts located there will have jurisdiction over any disputes, except where applicable law provides otherwise.
